Reference is made to the Company’s announcements dated 31 July 2024 on the Signing of Share Subscription Agreements in Dex-lab and Eyris, 19 April 2024 in relation to the Term Sheets with Jostar VCC (“Jostar”), and the Company’s announcements dated 10 May 2024 in relation to the Term Sheets with Mark Investment Group VCC (“MIG”) (“Announcements”). Unless otherwise defined, all defined terms and abbreviations used in this announcement shall carry the same meaning as those defined in the Announcements.
The Company wishes to announce that the Company has agreed to extend the Satisfaction Date for the following Share Subscription Agreements:
(i) Share Subscription Agreement signed between Dex-lab Pte Ltd, Jostar, and MIG dated 31 July 2024 (“SSA1”); and
(ii) Share Subscription Agreement signed between Eyris Pte Ltd, Jostar, and MIG dated 31 July 2024 (“SSA2”).
The original Satisfaction Date of 30 September 2024 in SSA1 and SSA2 will be extended to 31 December 2024. This extension is necessary to provide additional time for Jostar and MIC to complete certain internal and regulatory processes, and to align the strategic and exit considerations with their long-term investment objectives.
The Company will provide further updates as necessary.
