(I) PROPOSED PRIVATE PLACEMENT OF UP TO TWENTY PERCENT (20%) OF THE ISSUED AND PAID-UP SHARE CAPITAL OF NOVAMSC (“PROPOSED PRIVATE PLACEMENT”); AND (II) PROPOSED INCREASE IN AUTHORISED SHARE CAPITAL AND THE CONSEQUENTIAL AMENDMENTS TO THE MEMORANDUM AND ARTICLES OF ASSOCIATION OF NOVAMSC (“PROPOSED INCREASE IN AUTHORISED SHARE CAPITAL”) (COLLECTIVELY REFERRED TO AS THE “PROPOSALS”) |
On behalf of the Board of Directors of NOVAMSC, RHB Investment Bank Berhad is pleased to announce that the Company proposes to undertake the following proposals:
(i) a private placement of up to twenty percent (20%) of the issued and paid-up share capital of NOVAMSC to third party investor(s) to be identified later and Raden Corporation Sdn Bhd, a company related to Y.A.M. Tunku Dato’ Seri Nadzaruddin Ibni Almarhum Tuanku Ja’afar, a director and substantial shareholder of the Company; and
(ii) to increase the authorised share capital of NOVAMSC from fifty million ringgit (RM50,000,000) divided into 500,000,000 NOVAMSC Shares to one hundred million ringgit (RM100,000,000) divided into 1,000,000,000 NOVAMSC Shares.
