NEW ISSUE OF SECURITIES (CHAPTER 6 OF LISTING REQUIREMENTS) : FUND RAISING NOVA MSC BERHAD (“NOVAMSC” OR THE “COMPANY”) PROPOSED PLACEMENT OF NEW ORDINARY SHARES IN NOVAMSC (“SHARES” OR “NOVAMSC SHARES”) (“PLACEMENT SHARES”) OF UP TO 10% OF NOVAMSC’S ISSUED SHARES (“PROPOSED PLACEMENT”)

Reference made to the Company’s announcement dated 6 October 2023, 12 October 2023 and 23 November 2023 in relation to the Proposed Placement (“Announcement”). Unless otherwise defined, all defined terms and abbreviations used in this announcement shall carry the same meaning as those defined in the Announcement.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities has, vide its letter dated 30 November 2023, approved the listing of and quotation for up to 250,663,548 Placement Shares to be issued pursuant to the Proposed Placement subject to the following conditions:

(i) NovaMSC and Mercury Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Placement;

(ii) NovaMSC and Mercury Securities to inform Bursa Securities upon the completion of the Proposed Placement;

(iii) NovaMSC to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Placement is completed; and

(iv) NovaMSC to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Sections 75 and 76 of the Companies Act, 2016, in the event the current authority has expired.
